Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the website at padarlabs.com and any content, features or services made available on it (the “Site”), operated by PADARLabs (“PADARLabs”, “we”, “us”).

By accessing or using the Site you agree to these Terms and our Privacy Policy and Cookie Policy. If you do not agree, do not use the Site.

These Terms cover the Site only. Any engagement for PADARLabs services is governed by a separate written agreement (a statement of work or master services agreement); if that agreement conflicts with these Terms, that agreement prevails for the services.

You may use the Site only if you are at least 18 years old and able to form a binding contract. If you use the Site on behalf of an organisation, you represent that you are authorised to accept these Terms for it.

You agree not to:

• use the Site in breach of any applicable law or regulation, including the Nigeria Data Protection Act 2023 and the Cybercrimes (Prohibition, Prevention, etc.) Act;
• probe, scan, or test the vulnerability of the Site, or breach or circumvent any security or authentication measure;
• access the Site through automated means (scraping, crawling, or bots) except for well-behaved indexing by public search engines, or to build a competing dataset or model;
• introduce malware, launch a denial-of-service attack, or otherwise interfere with the proper working of the Site;
• misrepresent your identity or affiliation, or submit false or misleading information through our forms;
• reproduce, resell, or exploit any part of the Site without our written permission.

We may suspend or block access to anyone who breaches this section, and report unlawful activity to the authorities.

The Site and its contents — including text, design, graphics, logos, the PADARLabs name and marks, and software — are owned by PADARLabs or its licensors and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to view and use the Site for your own information and for evaluating our services. All rights not expressly granted are reserved.

Third-party names and logos on the Site (for example client and partner marks) belong to their respective owners and are used with permission or for identification only.

If you send us ideas, feedback, or other material through the Site (other than personal data, which is handled under our Privacy Policy), you grant us a non-exclusive, worldwide, royalty-free licence to use it to operate and improve our business. Do not send us anything confidential or proprietary that you do not want us to use on this basis.

You are responsible for ensuring you have the right to share anything you submit and that it does not infringe the rights of others.

We may change, suspend, or discontinue any part of the Site at any time without notice. We do not guarantee the Site will always be available, uninterrupted, or error-free, and we may restrict access for maintenance or security.

The Site and all content are provided “as is” and “as available”. To the fullest extent permitted by law, PADARLabs disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Content on the Site is for general information only. It is not professional, legal, financial, or technical advice, and you should not rely on it as such. Descriptions of our services, case studies, and performance figures are illustrative and not a guarantee of results.

To the fullest extent permitted by law, PADARLabs and its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of or inability to use the Site.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including for death or personal injury caused by negligence, or for fraud.

You agree to indemnify and hold PADARLabs harmless from any claim, loss, liability, or expense (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site.

The Site may link to third-party websites or resources. We provide these links for convenience only and do not endorse and are not responsible for their content, products, or practices. Your use of third-party services is at your own risk and subject to their terms.

These Terms are governed by the laws of the Federal Republic of Nigeria. The courts of Lagos State, Nigeria have exclusive jurisdiction over any dispute arising from these Terms or the Site, subject to any mandatory consumer-protection rights you have in your country of residence.

Before starting formal proceedings, the parties agree to attempt in good faith to resolve any dispute through discussion.

We may revise these Terms from time to time. The version posted on this page is the one in force. Material changes take effect when posted, and your continued use of the Site after that constitutes acceptance.

• If any provision of these Terms is found unenforceable, the rest remain in effect.
• Our failure to enforce a provision is not a waiver of our right to do so later.
• You may not assign these Terms; we may assign them to an affiliate or successor.
• These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and PADARLabs regarding the Site.
